Terms of Service

DARK is operated by CÔNG TY CỔ PHẦN MN VENTURES. By creating an account or using dvrk.com and the DARK commerce platform (the “Service”), you agree to these Terms of Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.

DARK is a commerce platform for merchants in Vietnam, providing tools to manage a storefront, products, orders, and customers, and — where a merchant chooses to connect one — to launch and manage advertising campaigns on third-party ad platforms (such as TikTok, Meta, and Google Ads) on the merchant’s own connected accounts.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized use of your account.

As a merchant, you are the data controller for the personal data of your own customers that you collect and store through the Service (names, contact details, orders, addresses). You are responsible for having a lawful basis to collect and process that data, and for complying with applicable law, including Vietnam’s Law on Personal Data Protection (Law No. 91/2025/QH15). DARK acts as your technology provider and processes this data on your behalf and on your instructions.

You agree not to use the Service to:

• Sell or promote illegal goods or services;
• Engage in fraud, scams, or deceptive or misleading practices — including misrepresenting your identity, your goods, or their origin;
• Sell counterfeit goods or goods that infringe the intellectual property or other rights of any third party;
• Accept payment for goods or services you do not intend to, or are unable to, deliver;
• Use the Service for money laundering, sanctions evasion, or any financial crime;
• Violate any applicable law or the rights of any third party;
• Attempt to gain unauthorized access to the Service or another merchant’s data;
• Use a connected third-party integration (ad platform, payment provider, shipping carrier) in a way that violates that third party’s own terms of service; or
• Interfere with or disrupt the integrity or performance of the Service.

We may require you to verify your business and personal identity (KYC/KYB) as a condition of using the Service or of accepting payments through it — including where a law such as the U.S. INFORM Consumers Act requires a marketplace to verify high-volume sellers. We may use third-party verification providers, request identifying documents, and, where the law requires, disclose certain seller information to buyers. We may block new orders or suspend a store until verification is complete.

The Service can connect to third-party platforms at your request, including TikTok Marketing API, Meta Marketing API, and Google Ads API. When you connect one of these, you authorize DARK to act on your own account on that platform (for example, to create ad campaigns or pull reporting) within the guardrails you configure. Your use of any connected third-party platform is also governed by that platform’s own terms. DARK is not responsible for the availability, accuracy, or outcomes (including ad spend or campaign performance) of any third-party platform.

Fees for the Service, if applicable, are described on our pricing page or in a separate agreement with you. Separately, any advertising spend on a connected third-party platform is billed directly by that platform to the payment method you have on file there, not by DARK.

DARK and its licensors own all rights in the Service, excluding content and data you or your customers submit. You retain ownership of your store’s content and data.

DARK is a technology platform operated by CÔNG TY CỔ PHẦN MN VENTURES. The merchant — not DARK — is the seller of the goods and services offered through its store and is solely responsible for its products, listings, claims, pricing, fulfillment, refunds, and customer relationships. DARK is not a party to the transaction between a merchant and its buyers, does not warrant the quality, safety, legality, or delivery of any merchant’s goods. DARK nevertheless operates a complaint channel, preserves relevant platform records, applies temporary safety measures where appropriate, and coordinates with merchants, buyers, payment providers, and competent authorities as required by law and our published e-commerce rules.

You may stop using the Service and request deletion of your account at any time — see our Data Deletion Instructions. We may suspend or terminate access to the Service, remove content, block new orders, or restrict the affected payment integration — immediately and without prior notice — where we reasonably suspect fraud, counterfeit or infringing goods, illegal activity, a violation of these terms, or a risk to buyers, other merchants, or DARK. Where lawful and appropriate, we may report suspected illegal activity to, and cooperate with, law enforcement and payment providers. The payment provider independently handles any hold, refund, reversal, or settlement under its direct agreement with the merchant and applicable law; MN VENTURES does not take custody of merchant sale proceeds.

To the maximum extent permitted by law, you agree to indemnify and hold harmless DARK and its affiliates from any claim, demand, loss, liability, or cost (including reasonable legal fees) arising out of the goods or services you sell, the content you submit, your use of the Service, your violation of these terms or of any applicable law, or a dispute between you and a buyer or other third party.

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, DARK is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including losses related to advertising spend or campaign performance on connected third-party platforms.

These terms are governed by the laws of Vietnam.

We may update these terms from time to time. Material changes will be notified in advance where required by the merchant agreement or applicable law and will be reflected by updating the “Last updated” date above.
